You have just been hired as a new human resource director

Please discuss the following scenario based on the limited information provided:

You have just been hired as a new Human Resource Director for a non-profit organization with about 300 total employees.

The Executive Director has been there for about a year and the Board of Directors just approved a large bonus for her. Everyone agrees that she has done a good job, but profits are about the same as the previous few years.

Some of the other top managers have been there for several years with no pay increases. This organization has no formal performance reviews and the few job descriptions that they do have are outdated (about 15 years old).

Do you have any concerns? If so, then how do you handle this situation? Where do you begin?
