Many nations, led by the United Kingdom but now extending to all of the members of the European Union and Canada, have adopted a "comply or explain" approach to corporate governance, setting up a list of best practices with which listed ?rms are to comply, or providing an explanation for their noncompliance. Some have advocated that the United States should follow such an approach. Discuss how to evaluate such a regulatory result given the research on governance indexes described in this chapter.
