Lynda is member of manager-managed LLC but is not manager. Though, Lynda has considerable expertise in business of LLC. Lynda assisted managers for first couple of years of LLC's existence without any difficulties. In the third year, Lynda began to challenge some of decisions made by managers who had started to shut Lynda out of most decisions. Lynda demands that as the member of LLC she be permitted to participate in its management and that she be compensated for services she is providing. In this case:
a. Lynda will be permitted to participate, but is not entitled to any compensation.
b. Lynda can't demand continuous management role, but is entitled to compensation for services already delivered.
c. Lynda is not permitted to participate in management, nor is she permitted to compensation.
d. Lynda will be permitted to participate in management and is permitted to compensation.
