Question: Paul Schwartz and others formed a partnership to own and operate an apartment house in New York City. Schwartz died in 1975 and his widow was appointed administratrix of his estate. A few years later, the partnership advised the estate that it intended to convert the property into a cooperative and offered to buy the estate's interest in the partnership, an offer that Mrs. Schwartz refused. In 1986, she sued the partnership in her individual name for a partnership accounting. The partnership refused, claiming that she was not a partner and that only the estate, which had succeeded to Mr. Schwartz's interest, could get an accounting. Was the partnership correct?
