According to Adam Penenberg and Marc Barry, why do major U.S. companies often hire spies, or rather, “competitive intelligence” agents (1)?

The agency that hired Barry as a corporate spy belonged to the Society of Competitive Intelligence Professionals (SCIP), a trade organization that prohibits its members from obtaining information by “misrepresentation or deception” (5). By what “loophole” in the law did Barry and his employer get around this rule?
