Super Store Inc., a large wholesaler, had a contract with Big Store Inc. The contract stated that each order to be placed monthly on the first of the month was to be for at least $550.

Big Store Inc failed to place an order on the 1st of the month and Super Store Inc sued Big Store Inc for breach of contract.

Big Store Inc  contended that its accountants had discovered that Bob an employee of Big Store Inc had signed a standard preprinted supply contract which did not have any specific schedule indicating specific time of order and quantity.  They said that Bob had authority to sign a standard supply contract, but could not authorize specific terms.

This was unknown to Super Store Inc. Super Store Inc argued that terms were "boilerplate" and therefore could be modified by acceptance.

Super Store Inc offered to give oral testimony at trial to prove that Bob agreed to the modifications.
