In addition, they have an interest in a business structure that would give them as much flexibility as possible, including letting the friend who has an MBA have governing responsibilities. One of the friends remembers taking a law course while getting her MBA and suggests a close corporation as the business structure they should choose. Draft the organizing document that will create the company. Use code sections O.C.G.A. 14-2-202, 14-2-401 (a) and (b), 14-9-902, and 14-9-22 (a) to draft the document. Do not include the text of the code sections in your document. You may, however, cite the code section to show that a particular provision of the organizing document satisfies the legal requirements.
