Three days later, Chantelle telephones Adam and offers £4000 for the car. Adam refuses to sell for this price. One week later Chantelle changes her mind and writes to Adam agreeing to purchase the car for £5000. Adam has now found another buyer for the car and refuses to sell to Chantelle.
Discuss the relevant rules on the formation of a contract and advise Adam on whether or not there is a valid contract between himself and Chantelle.

c. Discuss the common law and statutory rules which engage on an actionable misrepresentation.
d. With reference to the common law, identify the essential requirements that are necessary in order to establish the tort of negligence.
e. What are the statutory duties that are imposed on directors in the management of a company?
