Assignment task:

This discussion board covers some of the most important topics of the class including international law and contract law. To bring these topics together, we are going to conduct a classroom contract negotiations. A band named the Bluebells that is located in Blue Bell, Pennsylvania was hired to write a jingle for a restaurant chain popular in Germany called Yummy!. The band was worried about the contract negotiations since the members of the band never signed a contract before. They were specifically worried about protecting their intellectual property (music) overseas and to ensure that they received payment from the restaurant chain. However, they were thrilled to be hired and get paid "real money" for their music. Yummy! brands was concerned that these very talented young musicians would not create the jingle by December of this year when their new commercials would be airing on television in Germany. Those students with last names starting with A-G represent the band the Bluebells. Those students with last names starting with H-Z represent the German restaurant named Yummy! For each question below, set forth your position as to the first draft negotiations for this contract. You do not need to create an actual contract

1. Consider the forum selection (that is the jurisdiction where any issues arising from the contract would be decided) and choice of law for the contract if a dispute arises.  Also, consider whether a form of alternative dispute resolution (ADR) would be desired by your client;

2. Consider intellectual property rights in a foreign country and how to protect the music.   Consider who will own the music in the commercial.

3. Who are the parties to the contract and what terms and conditions would you want for payment.

4. What terms and conditions would you want for any breach of contract.
