The role(s) of the Board of Directors in a company's strategy-making, strategyimplementing process include:

(A) Collaborating closely with senior management in crafting the company's strategic vision, business model, objectives, and strategy and then putting the Board's stamp of approval on how things are to be done to implement and execute the strategy successfully.

(B) Seeing that the overall task of strategy management is performed in a manner that benefits shareholders, critically appraising and ultimately approving strategic action plans, and evaluating the strategy-making and strategy-implementing skills of top management.

(C) Taking lead responsibility for the company's strategic vision and business model, but delegating responsibility for setting objectives, crafting strategy, and implementing and executing strategy to senior executives.
