Problem

A is a medical manufacturer of a new reusable COVID mask (mask) based in Hangzhou, China. It appointed ZAID FIRM Sdn Bhd('ZAID') to be its sole agent in Malaysia. Based on a note, CEO of ZAID Mr Ibrahim supplied a consignment worth RM 10 million of 888 masks to HOSPITAL NOVEMBER, Selangor ('Hospital'). Later, HOSPITAL returned the consignment to Zaid saying that there was no agreement to purchase such masks. HANG Inc sales team stated that there was an agreement between them. They based this on a note from HOSPITAL to CEO of ZAID (which was forwarded to CEO of HANG) obtained from a WeChat Meeting platform discussion dated 13 July 2021 that says: "Our Hospital will buy 888 masks from HANG if you can give us a discount of 20%, we will consider to buy RM 1 million of your cocktail vaccine for our hospital ......" Advice all the parties involved whether there was an agreement between them? Look at the legal provisions of the Malaysian Contracts Act 1950, and refer to any case law as support in your advice.
