How results affected by interposition of a corporation


Question: With the basic principles reflected in the first two cases in mind, we can turn to the question of how the results affected by the interposition of a corporation. Suppose the facts are the same as in Case 2, except that the buyer is a corporation, P Corp., instead of an individual, and that the corporation is owned by Paula (that is, she owns all the shares of its s tock). Suppose further that P aula is the president of the corporation and she conducts the negotiations with Art by virtue of which he agrees to act for the corporation. Art would become an agent of the corporation and its legal position would be the same as that of Paula in Case 2. Paula herself would not be allowed to proceed as an individual against Art, either in her role as shareholder or in her role as president of the corporation.
