Q1. Effect of delay or non-delivery

Where any cause outside the control of the Manufacturer shall lead to non-delivery or delayed delivery of the Products in pursuance of the Merchant's orders, the minimum total of the value of the orders which the Merchant has undertaken to place in every calendar year in accordance with clause 3 hereof shall, if the Merchant so requires, be proportionately reduced without giving ground for determination of this agreement, but, apart from the right to require this reduction, the Merchant agrees to make no claim upon the Manufacturer in respect of any loss or damage consequent upon such delay or non-delivery.

Q2. Customer's Operational Requirement

a. Customer has sole responsibility for use of equipment and software, including operating procedure, audit control, accuracy and security input and output, data restart, recovery routines and other procedures for customer's intended use of the equipment and software.

b. The customer's staff or its agents are to use and operate the equipment and software properly as trained in accordance with the manuals and instructions applicable.

c. Customer to maintain operating environment in accordance with specifications supplied by owner, provided that the supplied specifications fit in with the current environment of the customer, and to provide full access to designated and mutually agreed upon (in writing), owners' agents or employees to software and equipment.
