A breach of contract occurs when one or other of the parties fails to live up to its obligations under the contract. Although breach of contract is another way to discharge a contract, not all breaches are serious enough to warrant termination, and even those breaches that are sufficiently serious do not lead to automatic termination but instead give the injured party the right to elect to end the contract.
